Terms and Conditions
1:1. These terms and conditions apply to members or attendees of the MACsWomen in Business Mastermind (MIBM) group, facilitated by Motivators and Creators Women's Group, Inc.
1.2. MIBM will provide 12 educational sessions, with per-selected dates, all of which may be amended from time to time by MIBM.
2. Facilitation Sessions
2.1. On acceptance of these terms and conditions, the membership fees become immediately payable by member to MIB. MIBM is under no obligation to provide the sessions until full payment is received.
2.2. The member can elect to send a replacement person to one or more sessions if they are unable to attend; however no member will be entitled to any refund if they are not able to attend one, or more or all of the sessions.
2.3. The member understands that once they have agreed to these terms and conditions, they become bound by confidentiality in respect of any matters that may be raised by attendees in the sessions.
2.4. These session are educational and general in nature. The member bears sole responsibility for the use and implementation of the sessions in their own businesses. The member will not hold MIB or any of its speakers, Motivators and Creators Women’s Group, Inc., any team member or MIBM facilitator liable for any reliance that a member may place on the matters raised in the sessions.
2.5. Where a member is not satisfied with the sessions provided by MIBM, then there is no entitlement to a refund, credit or any other recourse against MIBM.
2.6. MIBM may from time to time, alter the content or structure of the sessions as it considers necessary.
2.7. MWIBM may on 7 days’ notice terminate the sessions available to a member if MIBM deems that a member has breached any of these terms and conditions or engages in unprofessional and/or defamatory conduct and/or any conduct which any social media outlet may deem unsatisfactory or in breach of their own rules.
3. Session fees
3.1. The session fees are payable upfront in full and due 2 weeks prior to the first session. The session fees are to be deposited electronically into a bank account nominated by MIBM from time to time. MIBM reserves the right not to permit access to a member or any attendee to the session if this payment is not made.
4. Intellectual Property
4.1. The sessions remain the property of MIBM at all times and are protected by copyright laws. Any attempt to reproduce the sessions is prohibited.
4.2. Any material provided by MIBM are confidential and proprietary, and cannot be used, disclosed or duplicated except within the member’s business.
5.1. Under no circumstance does MIBM indemnify the member or any of the member’s related companies, against liability, loss, damage, cost and expenses (whether direct or indirect) suffered by the member or any of its related companies for the loss of revenue or profits, in relation to any breach of warranty or representations, any infringement claim, or any liability under relevant laws or a claim arising out of the sessions, directly or indirectly as a result of the provision of the sessions.
5.2. The member indemnifies and undertakes to hold MIBM harmless from and against all claims, suits, losses, liabilities (including the member’s reasonable legal fees), damages, loss and expenses from or in connection to the sessions.
6.1. MIBM respects the personal details of its members and agrees to comply with the Privacy Principles to keep their personal details safe.
7.1. If a party considers that a dispute has arisen, that part must send a notice to the other party setting out a full description of the matters in dispute. The parties must then attempt to resolve the dispute. If the dispute is not resolved within 30 days, either party may initiate legal proceedings.
7.2. MIBM may amend these terms and conditions and should this occur, a copy of any revised terms and conditions will be sent to members.
7.3. If any of these terms and conditions are ruled as invalid or unenforceable, the remaining provisions will continue to be in full force and effective as if it had never been included in this document the first instance.
7.4. These terms and conditions supersede all previous proposals, negotiations, discussions whether verbal or written, explicit or implied.
7.5. These terms and conditions are governed by the law of New York State. The parties will submit to the exclusive jurisdiction of the courts of Westchester County, New York.
